These Terms of Service govern your use of the Calyx website, Demand Audit requests and any separately agreed Calyx services. Calyx is operated by SM Nivesh Consultancy, Bhubaneswar, Odisha, India.
Calyx provides Digital Demand Intelligence and related professional services intended to improve visibility, trust, engagement and qualified demand.
1. Acceptance of Terms
By accessing the website, submitting a Demand Audit request or engaging Calyx for services, you agree to these Terms and the Privacy Policy. If you are acting for a company or other organisation, you confirm that you have authority to act for that organisation.
2. About Calyx
Calyx is a brand operated by SM Nivesh Consultancy, Bhubaneswar, Odisha, India. Calyx provides Digital Demand Intelligence and related professional services intended to improve visibility, trust, engagement and qualified demand.
3. Website Information
Information on the website is provided for general business information only. Service descriptions, examples or statements on the website do not automatically form a binding proposal, guarantee or commitment.
A binding engagement begins only when scope, deliverables, fees and applicable terms are agreed separately in writing.
4. Demand Audit Requests
A Demand Audit request is an enquiry, not an automatic service engagement. Submission does not guarantee acceptance, a report, a response within a particular time or a commercial result.
Calyx may review the details and contact the person who submitted the request. You must provide accurate and lawful information. Calyx may decline incomplete, misleading, abusive or unsuitable requests.
5. Service Engagements
Services may include, depending on the separately agreed scope:
- Search and AI visibility assessments
- SEO and AEO-related services
- Content and social demand initiatives
- Demand-generation strategy
- Targeted outreach support
- Lead qualification or pipeline-activation support
- Conversion-focused campaigns
- Reporting, recommendations and advisory work
The actual scope must be defined in a proposal, statement of work, engagement letter, email confirmation or another written agreement. If separately agreed written terms conflict with these website Terms, the separately agreed terms govern that engagement.
6. Client Responsibilities
Clients are responsible for:
- Providing accurate and timely information
- Providing required access, approvals and materials
- Having rights to supplied data, content, trademarks and assets
- Reviewing and approving materials when required
- Complying with applicable law, platform rules and contracts
- Making their own commercial decisions based on recommendations
7. No Guarantee of Results
Calyx cannot guarantee search rankings, AI citations or mentions, social reach, enquiries, leads, meetings, revenue or other commercial outcomes.
Results depend on competition, algorithms, platforms, market conditions, third-party systems and client actions. Agreed services will be performed with reasonable professional care.
8. Third-Party Platforms and Services
Calyx services may rely on search engines, AI platforms, social networks, advertising platforms, analytics systems, communication services and hosting infrastructure. Calyx does not control third-party availability, algorithms, policies, restrictions or decisions.
9. Fees and Payment
Fees, taxes, payment schedules and billing terms will be stated in the applicable proposal or written agreement. Work may begin after agreed approvals or payments.
Fees earned for work already completed are generally non-refundable unless agreed otherwise. Cancellation, refund and rescheduling terms are governed by the relevant written engagement.
10. Intellectual Property
Calyx retains ownership of its pre-existing methods, frameworks, templates, processes, know-how and internal tools. Clients retain ownership of materials they provide.
Rights to final deliverables are governed by the specific written engagement. Website content and branding may not be commercially copied or reused without permission.
11. Confidentiality
Each party should protect confidential business information and use it only for the relevant business purpose. Necessary disclosure may be made to authorised personnel or service providers under suitable confidentiality expectations, or where required by law.
Public information, independently developed information or information lawfully received elsewhere is not confidential merely because it was discussed.
12. Data and Privacy
Personal information submitted through the website or Demand Audit form is handled according to our Privacy Policy.
13. Acceptable Use
You must not use the website to submit or support:
- Unlawful, fraudulent or misleading submissions
- Infringement of intellectual-property or privacy rights
- Malware or harmful code
- Unauthorised access attempts
- Abuse, overload or disruption
- Spam or automated fraudulent submissions
- Impersonation
14. Suspension or Termination
Calyx may decline enquiries, restrict access or suspend engagements for non-payment, material breach, unlawful conduct, abuse, security risk or repeated lack of required cooperation.
Where appropriate, notice and an opportunity to resolve the issue may be provided. Paid engagements remain subject to their separately agreed termination terms.
15. Disclaimers
General website information is provided on an as-available basis. Calyx does not provide legal, tax, investment or regulated financial advice unless expressly agreed and legally authorised.
These Terms do not disclaim obligations that are expressly accepted in a written client engagement.
16. Limitation of Liability
To the extent permitted by applicable law, Calyx is not responsible for indirect, incidental or consequential loss arising solely from website use or reliance on general website information.
Liability for paid engagements is governed mainly by the applicable written agreement. Nothing in these Terms excludes liability that cannot lawfully be excluded.
17. Indemnity
You are responsible for claims or losses arising from unlawful materials you submit, infringement of third-party rights, misuse of the website or material breach of these Terms.
18. Changes to Services or Terms
Calyx may update its website, services and these Terms. Material changes may be reflected through the Last updated date.
Changes do not retroactively change separately signed agreements unless agreed in writing.
19. Governing Law and Disputes
These Terms are governed by the laws of India. The parties should first attempt to resolve disputes through good-faith discussions. If a dispute cannot be resolved, it will be subject to the competent courts having jurisdiction in Bhubaneswar, Odisha, India, unless a separate written agreement provides otherwise.
20. Severability and Waiver
If one provision is unenforceable, the remaining provisions continue. A delay in enforcement does not permanently waive the relevant right.
21. Entire Website Terms
These Terms and the Privacy Policy govern general website use and enquiries. Client engagements may also be governed by proposals, statements of work, engagement letters or other written agreements.
